London: The United Kingdom’s ACG Metals Limited has announced its decision to refrain from acquiring Anglo Asian Mining (AAM), a company engaged in extracting gold, copper, and silver in Azerbaijan.
According to Azeri-Press news agency, ACG Metals officially stated that it does not intend to make an offer for AAM. After evaluating the assets of Anglo Asian, ACG concluded that an acquisition would not provide additional value for its shareholders. Consequently, under the UK’s Rules on Takeovers and Mergers, ACG is now legally restricted from pursuing an offer for Anglo Asian.
In response to ACG’s decision, Anglo Asian Mining PLC emphasized its ongoing commitment to developing production and existing assets to create shareholder value. The company highlighted the commissioning of two new mines over the past year and its long-standing income-generating projects as part of this strategy.
Anglo Asian also mentioned the ongoing development of the Kharkhar and Garadagh projects and the phased implementation of plans to become a mid-tier copper producer. The company believes that recent market assessments have begun to recognize the management team’s capability to develop new opportunities based on its extensive license portfolio.
The announcement further noted that Anglo Asian’s management remains confident in the success of its current strategy for shareholders, aiming to increase long-term value through organic growth.
Following ACG Metals Limited’s initial announcement on November 26 about exploring the acquisition of AAM’s share capital, trading of Anglo Asian’s shares on the London Stock Exchange was suspended. ACG was given a deadline until December 24 to formalize or decline the acquisition.
Anglo Asian Mining began developing six fields under a production sharing agreement signed on August 21, 1997. According to the agreement, Azerbaijan holds a 51% share, while Anglo Asian Mining PLC possesses a 49% share. The company operates in eight contract areas in Azerbaijan, is listed on the London Stock Exchange, and ranks among the country’s largest non-oil industrial exporters.
